Terms of Service

1. Acceptance of Terms

By accessing or using the Tradaxi platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and clients of the Service.

2. Description of Service

Tradaxi is a white-label software-as-a-service (SaaS) platform that enables prop trading firm operators to launch and manage their business. Tradaxi provides technology infrastructure including challenge engines, trader dashboards, payment processing integration, and administrative tools. Tradaxi is not a broker, not a prop trading firm, and does not provide financial advice or trading services.

3. Account Registration

To use the Service, you must register for an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Subscription and Payments

The Service is offered on a subscription basis. Fees are billed monthly in advance. Setup fees are billed as a one-time charge upon onboarding. All fees are non-refundable except as provided in our 30-day money-back guarantee for new customers. We reserve the right to modify pricing with 30 days advance notice.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations in your jurisdiction. You shall not use the Service to conduct any fraudulent, abusive, or illegal activity. You are solely responsible for ensuring your prop trading firm operations comply with local financial regulations.

6. Intellectual Property

The Service, including all software, content, designs, and documentation, is owned by Neclid LTD and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your business operations. You may not reverse-engineer, decompile, or attempt to extract the source code of the Service.

7. Data Ownership

You retain ownership of all data you input into the Service, including trader information, challenge configurations, and business data. We do not sell, share, or use your data for any purpose other than providing the Service. Upon termination, you may request an export of your data within 30 days.

8. Limitation of Liability

To the maximum extent permitted by law, Neclid LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

9. Termination

Either party may terminate the subscription with 30 days written notice. We reserve the right to suspend or terminate your account immediately if you violate these Terms. Upon termination, your access to the Service will cease, and we will retain your data for 30 days to allow for export.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Tel Aviv, Israel.

Privacy Policy

1. Information We Collect

We collect information you provide directly to us, including: name, email address, company name, payment information, and any other information you choose to provide. We also automatically collect certain technical information when you use the Service, including IP address, browser type, operating system, and usage patterns.

2. How We Use Your Information

We use the information we collect to: provide, maintain, and improve the Service; process transactions and send related information; send technical notices, updates, and support messages; respond to your comments, questions, and requests; monitor and analyze usage trends; and detect, investigate, and prevent fraudulent transactions and other illegal activities.

3. Data Sharing

We do not sell, rent, or trade your personal information to third parties. We may share your information with: service providers who perform services on our behalf (e.g., payment processing, email delivery); law enforcement when required by law; and in connection with a merger, acquisition, or sale of assets, with prior notice.

4. Data Security

We implement industry-standard security measures to protect your data, including encryption in transit (TLS) and at rest, access controls, regular security audits, and secure data storage. However, no method of transmission over the Internet is 100% secure, and we cannot guarantee absolute security.

5. Data Retention

We retain your personal information for as long as your account is active or as needed to provide the Service. Upon account termination, we will retain your data for 30 days to allow for export, after which it will be permanently deleted. We may retain certain information as required by law or for legitimate business purposes.

6. Your Rights

7. Cookies

We use cookies and similar tracking technologies to collect usage information and improve the Service. Essential cookies are required for the Service to function. Analytics cookies help us understand how the Service is used. You can control cookie preferences through your browser settings.

We may update this Privacy Policy from time to time. We will notify you of any material changes by posting the new policy on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the updated policy.
